About the Role

A well-established private equity firm is seeking a Transaction Tax Manager to join its New York team. This role sits at the center of the firm's deal activity, advising on the tax aspects of M&A transactions from diligence through closing. It's an opportunity to move from advisory work into an in-house seat, working directly with deal teams on high-impact investments.

Key Responsibilities

  • Analyze transaction-related tax exposures, identifying risks and value-creation opportunities across acquisitions, dispositions, and restructurings.
  • Lead tax due diligence and advise on deal structuring to optimize transaction value.
  • Partner with deal, legal, and finance teams to ensure tax compliance and strategic alignment throughout the M&A lifecycle.
  • Prepare clear, well-reasoned tax memos and reports that present key findings and recommendations to senior stakeholders.
  • Track legislative and regulatory developments affecting transaction tax strategy and assess their impact on the portfolio.
  • Mentor and develop junior team members.

Qualifications

  • Bachelor's degree in Accounting, Taxation, or a related field; CPA or JD preferred.
  • Advanced degree in Taxation (MST or LLM) is a plus.
  • 5+ years of transaction tax experience with a focus on M&A, ideally gained at a Big Four firm.
  • Strong analytical and problem-solving skills with close attention to detail.
  • Excellent written and verbal communication skills, with the ability to explain complex tax concepts to non-tax audiences.
  • Ability to manage multiple projects and deadlines in a fast-paced environment.
